B2B AFFILIATE PROGRAM TERMS AND CONDITIONS (CGA)
Preamble These General Terms and Conditions of Affiliate Program (hereinafter referred to as the "GTC") govern the contractual relationship between the Cimaise Tableau store (hereinafter referred to as l "Advertiser") and any professional or validated content creator (hereinafter referred to l "Affiliate" or "Partner") participating in the affiliate program. Participation in the program implies unreserved l of these GTC.
Article 1: Eligibility for the program
The affiliate program is strictly reserved for professionals (businesses, tradespeople, influencers) and content creators with a valid SIRET number (or international equivalent). The Advertiser reserves the right to accept or reject any application without having to justify its decision.
Article 2: Remuneration and Commissions
The Affiliate receives a commission set at 10% excluding VAT of the total amount excluding taxes, shipping costs and deduction of any discounts or promotional codes used by the customer , for each order g l their personal tracking link or exclusive promotional code.
Validation period: Commissions appear in "Pending" status and are definitively validated 14 days after delivery of the order to the end customer, provided that the latter has not exercised his right of withdrawal or cancelled his order.
Cookie allocation period: When a visitor clicks on l Affiliate's link, a tracking cookie is placed in their browser for a period of 30 days . If the customer places an order within this period, the commission is allocated to l Affiliate.
Last-click rule: If multiple affiliates are involved before l purchase, the system applies the last-click rule. The commission will be awarded to the last affiliate link clicked (or promo code used) by the customer before they confirm their order.
Self-referral: l are strictly prohibited from placing orders through their own affiliate link or using their own promotional code. Any attempt at self-referral will result in l immediate cancellation of commissions and possible account suspension.
Article 3: Payment and Invoicing Terms
As a B2B program, commission payments are subject to strict accounting compliance:
The minimum payment threshold is set at € 50.00 excluding VAT .
Payment is made by bank transfer, upon request from l Affiliate via their customer area.
l obligation: No payment may be issued without prior receipt of a proper invoice issued by l Affiliate, containing the l required information (SIRET number, address, amount of commission, applicable VAT or mention of basic franchise).
Article 4: Intellectual Property and Media Use (Artiteq, Newly , Orac Decor)
The Advertiser provides l Affiliate with graphic resources (HD photos, videos, configurators, technical specifications). The use of these resources is subject to strict rules:
Exclusive property: All visuals, logos and m related to the brands Artiteq BV , Newly BV and Orac Decor remain the exclusive property of their respective rights holders.
Limited right of use: The Affiliate is authorized to use these m solely for the purpose of promoting products sold on the Advertiser l website. Any use of these m to redirect traffic to competing websites or other sales platforms is strictly prohibited.
Respect l integrity: The visuals must be used in their original format. It is forbidden to alter them, modify the colors, remove any watermarks, or superimpose third-party logos without written consent.
Revocation: This right of use is temporary and non-exclusive. It terminates immediately upon termination of this affiliation agreement.
Article 5: Transparency Obligations (Influencers Law 2023)
In accordance with French l (Law No. 2023-451 of June 9, 2023), l Affiliate has l l obligation to be transparent with its audience. In any publication (social media, blog articles, videos) that includes an affiliate link or promotional code, l Affiliate must clearly, legibly, and identifiably display the words "Commercial Collaboration," "Affiliate Link," or "Advertisement." The Advertiser accepts no liability in the event of sanctions against l Affiliate by the competent authorities (DGCCRF) for failure to comply with this rule.
Article 6: Promotion Rules and Prohibited Practices (Anti-Fraud)
To protect l Advertiser l image, the following practices are strictly prohibited and will result in l Affiliate's immediate removal without notice or payment of outstanding commissions:
Keyword purchase (SEA): It is strictly forbidden to bid on search engines (Google Ads, Bing Ads, etc.) on the brand names " Cimaise Tableau ", "Artiteq", " Newly ", " Orac Decor", as well as on any variation or misspelling of these terms.
Spam and abusive techniques: Sending unsolicited emails (SPAM), "cookie stuffing" or l use of invisible pop-ups.
Discount coupon sites: The distribution of exclusive promotional codes on public "cashback" type sites or promo code aggregators, unless explicitly agreed to by l Advertiser.
Article 7: Independence of the parties
The Affiliate acts in its own name and on its own behalf, as an independent professional. This agreement does not create any relationship of subordination, agency, joint venture, or employer-employee relationship between l Advertiser and l Affiliate.
Article 8: Duration, Modification and Termination
These General Terms and Conditions are concluded for an indefinite period.
The Advertiser reserves the right to modify these General Terms and Conditions or the commission rate at any time. The Affiliate will be notified in advance.
Either party may terminate the partnership at any time by simple written notification. In the event of a serious breach of Articles 4, 5, or 6, l Advertiser will close the Affiliate l account with immediate effect and cancel any unpaid commissions.
Article 9: Applicable Law and Disputes
These General Terms and Conditions are governed by French law. In the event of a dispute that cannot be resolved amicably, the competent courts of l Advertiser's registered office shall have sole jurisdiction, notwithstanding multiple defendants or third-party claims.
